The Lady’z Lounge Women’s-Only Membership Terms & Conditions
By completing a membership application and agreeing to the terms outlined herein, you (the “Member”) enter into a membership agreement with The Lady’z Lounge, operating women’s-focused membership programs (collectively, “The Lady’z Circle”) in Los Angeles, California. This agreement governs your membership, including associated benefits, responsibilities, and expected conduct.
1. Membership Eligibility and Approval
1.1 General Eligibility
Membership with The Lady’z Circle is open to individuals who meet the criteria established by The Lady’z Lounge, including being at least 21 years of age, as alcohol may be served at meetings and events. The Lady’z Lounge reserves the right to approve or deny membership based on its internal policies and in compliance with applicable laws, ensuring a respectful and empowering environment for all members.
1.2 Membership Approval Process
The Lady’z Circle is dedicated to fostering vibrant, supportive, and dynamic communities. Our membership tiers have varying application and approval processes to ensure the best fit for each community.
1.3 Criminal Background Checks
By applying for membership with The Lady’z Circle, applicants acknowledge and consent to the possibility of a criminal background check as part of the membership evaluation process. This check helps ensure alignment with the organization’s values, mission, and commitment to fostering a safe and supportive community. All information obtained through criminal background checks remains strictly confidential and is used solely for membership evaluation. A prior conviction doesn’t automatically disqualify an applicant or member; each case is reviewed individually. The Lady’z Lounge reserves the right to conduct ongoing background checks on members at any time during their membership term, with prior notification and updated consent required. Refusal to consent or provision of false information may result in denial or termination of membership.
1.4 Membership Expectations
- Active Participation: Members are encouraged to actively engage by attending events, meetings, and volunteer opportunities.
- Membership Benefits: Members gain access to exclusive events, networking opportunities, educational resources, and initiatives designed to empower women and promote personal and professional growth. Detailed benefits are specific to each membership tier.
- Privacy & Confidentiality: Members are expected to uphold the privacy and confidentiality of internal matters.
- Code of Conduct: All members must adhere to The Lady’z Lounge Code of Conduct (Section 5). Violations may result in membership revocation without refund.
- Non-Transferability: Membership is personal and non-transferable. Sharing, transferring, or selling membership privileges is strictly prohibited and may result in termination.
1.5 Membership Terms and Renewal
Membership validity and renewal schedules are determined by the selected membership tier:
- Monthly Tier: Valid for one (1) month from the date of approval; renews monthly.
- Quarterly Tier: Valid for three (3) months from the date of approval; renews every three months.
- Yearly Tier: Valid for one (1) year from the date of approval; renews annually.
Members will receive renewal instructions or expiration reminders before the end of their respective membership terms.

2. Membership Levels and Benefits
The Lady’z Circle offers various membership tiers tailored to different levels of access:
- RADIANT RESET SOCIETY™: An exclusive, private membership reserved solely for participants of the RADIANT RESET SYSTEM™.
- The Essential Circle Membership: An exclusive tier available by invitation only.
- The Lounge Society: A community tier open to all women.

Personal Use Only
The purchase of any membership is strictly for personal use. Memberships are non-transferable and cannot be assigned to other individuals.
2.1 Board Membership Application & Terms
Eligibility and Application Process
Board Membership is open to individuals who align with the mission of The Lady’z Lounge and possess the leadership, expertise, and commitment to support the organization’s strategic growth. Interested candidates may express interest by submitting a completed application. Additional documentation or an interview may be required as part of the evaluation process.
To be considered for Board Membership, applicants must:
- Demonstrate alignment with The Lady’z Lounge mission and core values.
- Submit a completed Board Member Application.
- Participate in a screening conversation or interview conducted by leadership.
Review and Selection
Applications are reviewed by the Executive Board or a designated committee. Selection is based on leadership capacity, professional background, organizational fit, and demonstrated commitment. Board positions are limited; submission of an application does not guarantee selection.
Term of Service and Expectations
Selected Board Members will serve a two- or three-year term, beginning upon formal appointment. Board Members are expected to:
- Commit to a two-year or three year term of service.
- Contributing expertise and insights to inform decision-making and drive innovation.
- Providing strategic leadership and vision in alignment with the organization’s mission and business goals.
- Ensuring sound financial oversight and business practices.
- Upholding legal and ethical standards and ensuring compliance.
- Actively participating in board meetings and committee work.
- Contributing to business development and resource strategies.
- Acting as an ambassador for Lady’z Circle.
- Supporting and advising the leadership team.
Good Standing Requirement
Board Members must adhere to organizational values, remain current on any required dues or obligations, and act in accordance with all established policies. Failure to maintain good standing may result in removal from the Board.
Resignation and Removal
Board Members may resign at any time by submitting written notice to the Executive Board. The Lady’z Lounge reserves the right to remove any Board Member for cause, including misconduct, breach of duty, or failure to meet expectations.
3. Payment & Renewal
Annual Membership Fees (and any associated administrative fees for specific tiers) are billed annually. Payments are due at the time of enrollment, and membership renewals will be processed automatically at the end of the annual term. A valid payment method must be provided at the time of sign-up. We accept Visa, Mastercard, American Express, Discover, and PayPal.
4. Refund and Cancellation Policy
4.1. Membership Terms
Membership is valid for the duration of the selected tier’s term (monthly, quarterly, or yearly) starting from the date of approval. Memberships automatically renew at the end of each billing cycle to maintain active status unless canceled in accordance with Section 4.2.
4.2. Cancellation Policy (Cancel Anytime)
Members may cancel their membership at any time. To avoid being charged for the next billing cycle, cancellation requests must be processed or submitted prior to your next scheduled renewal date.
- How to Cancel: You can cancel your subscription instantly at any time by logging into your Membership Portal and updating your subscription settings. Alternatively, you may submit a written cancellation request via email to Membership@TheLadyzLounge.com.
- Effect of Cancellation: Upon cancellation, you will retain full access to your membership benefits until the end of your current paid billing cycle (monthly, quarterly, or yearly). Your membership will simply not renew, and no further automatic charges will be made. No mid-cycle cash refunds will be issued for the remaining days of that term.
4.3. Fees and Refund Policy
All membership fees (whether paid in full or in installments) and associated administrative fees are strictly non-refundable once your payment has been processed, subject to the following standard consumer protections:
- Three-Day Right to Cancel: First-time members residing in California have the right to cancel their initial membership contract without penalty or obligation within three (3) business days of the initial payment date for a full refund. To exercise this right, a written cancellation request must be sent to Membership@TheLadyzLounge.com within this 3-day window.
- Non-Refundable Administrative Fee: For membership tiers that include a $250 administrative processing fee, this fee is separate from standard membership dues. It is non-refundable under any circumstances once submitted, as it covers the immediate costs of the application review and vetting process.
- Automatic Renewal Notifications: Members on quarterly or yearly tiers will receive an automated renewal reminder email 15 to 30 days prior to their renewal date. This notice will clearly state the upcoming renewal date, the amount to be charged, and a direct link to the Membership Portal where the subscription can be managed or canceled.
- Special Events, Promotions, or Additional Charges: Fees for special events, exclusive promotions, or additional services offered by The Lady’z Circle are non-refundable unless the event or service is canceled entirely by The Lady’z Circle. In such cases, a refund or credit will be provided.
- Unfulfilled Services or Misrepresentation: If The Lady’z Circle fails to provide promised services or if there is a material misrepresentation of membership benefits, you may contact us at Membership@TheLadyzLounge.com to address your concerns and request an appropriate remedy.
- Non-Transferability of Membership: Memberships to The Lady’z Circle are personal and non-transferable. Membership fees are non-refundable if a member chooses not to use their benefits or fails to engage with community activities.
4.4. Discretionary Pro-Rata Refunds for Early Cancellation
For quarterly and yearly membership tiers, partial or pro-rata cash refunds for an early termination of a contract are not guaranteed. However, they may be considered on a strict case-by-case basis at the sole discretion of management for major, documentable life events:
- Medical Incapacity: A request must include a doctor’s note or medical certification clearly stating the member’s long-term physical or medical inability to continue participating.
- Relocation: Considered for members who permanently relocate more than 50 miles outside of the Los Angeles area. Valid proof of relocation (e.g., a new lease agreement or utility bill) is required.
- Extenuating Circumstances: Other significant, sudden life changes (e.g., military deployment, unforeseen primary caregiving responsibilities) may qualify if relevant documentation is provided.
All requests for exceptional pro-rata refunds must be submitted in writing to Membership@TheLadyzLounge.com within 30 days of the qualifying event. Approved refunds will be processed within 14 business days.
4.5. Force Majeure
If events or services are disrupted due to circumstances beyond our reasonable control (e.g., natural disasters, public health mandates, pandemics, government restrictions), membership fees will not be refunded. In such circumstances, The Lady’z Circle will make reasonable efforts to provide digital alternatives, reschedule physical events, or extend membership periods to mitigate the impact.
5. Code of Conduct and Responsibilities
The Lady’z Circle is committed to fostering a safe, supportive, and empowering environment for all members. By joining, you agree to adhere to the following Code of Conduct and responsibilities:
- Respect and Professionalism: Treat all members, staff, guests, and individuals you interact with through The Lady’z Circle activities with courtesy, respect, and professionalism at all times.
- Inclusivity and Non-Discrimination: Embrace and uphold The Lady’z Circle’s commitment to a welcoming and inclusive community. Do not engage in any form of harassment, discrimination, abuse, or disrespectful behavior based on race, ethnicity, religion, sexual orientation, disability, age, socioeconomic status, or any other characteristic.
- Active and Positive Engagement: Participate actively and positively in The Lady’z Lounge and The Lady’z Circle events, meetings, online forums (including BuddyPress and bbPress), and other activities. Contribute constructively, share insights respectfully, and support fellow members.
- Confidentiality: Maintain the strict confidentiality of any non-public or sensitive information shared within the community, including discussions in private meetings, online forums, or personal information shared by other members.
- Online Community Etiquette: Adhere to the specific guidelines and rules established for The Lady’z Lounge and The Lady’z Circle’s online platforms. This includes:
- Posting relevant, respectful, and aligned content.
- Avoiding spam, excessive self-promotion (unless in designated areas), or off-topic discussions.
- Using private messaging appropriately and respecting boundaries.
- Reporting any content or behavior that violates the Code of Conduct or platform rules.
- No Unsolicited Solicitation: Refrain from unsolicited direct solicitation of other members for unrelated business, products, or services without prior consent from The Lady’z Circle and the member being solicited. Networking and collaboration are encouraged, but direct, uninvited sales pitches are not permitted outside of approved channels.
- Compliance with Laws and Policies: Comply with all applicable local, state, and federal laws and regulations. Adhere to all rules, regulations, and policies set by The Lady’z Lounge and The Lady’z Circle, including those incorporated by reference (e.g., Website Terms & Conditions, Event Policies, Privacy Policy).
- Responsible Event Attendance: Attend events and meetings for which you are registered. If you must cancel, do so with reasonable notice as per any specific event policies.
- Reporting Concerns: If you witness or experience any behavior that violates this Code of Conduct, you are encouraged to report it promptly and confidentially to The Lady’z Lounge leadership via Membership@TheLadyzLounge.com.
Violations of this Code of Conduct may result in disciplinary action, up to and including immediate suspension or termination of membership, at the sole discretion of The Lady’z Lounge. The Lady’z Lounge reserves the right to review all reported violations and may, at its discretion, issue a warning or hold a formal review process before imposing disciplinary action.
6. Termination of Membership
The Lady’z Lounge reserves the right to suspend or terminate your membership if you violate our terms, engage in misconduct, or disrupt the community environment of The Lady’z Circle. In such cases, no refund will be issued for unused membership time. In the event of termination, members may be prohibited from rejoining in the future.
7. Privacy & Data Protection
By becoming a member, you consent to the collection, processing, and use of your personal information in accordance with our Privacy Policy. We respect your privacy and are committed to safeguarding your personal information. You may request access to or deletion of your data at any time.
8. Changes to Terms
The Lady’z Lounge reserves the right to modify or update these Terms and Conditions at any time. Members will be notified of any significant changes via email or through the member portal. Continued membership after such updates constitutes acceptance of the revised terms.
9. Limitation of Liability
The Lady’z Lounge will not be held liable for any personal injury, loss, or damage to property that occurs as a result of membership or participation in any events, activities, or services of The Lady’z Circle, unless such injury or loss is due to our gross negligence or willful misconduct. Members participate in activities at their own risk.
10. Non-Discrimination Policy
The Lady’z Lounge is committed to providing a welcoming, inclusive environment for all women within The Lady’z Circle. We do not tolerate discrimination based on race, ethnicity, religion, sexual orientation, disability, or any other characteristic. We are dedicated to fostering an environment of mutual respect and empowerment for women from all walks of life.
11. Governing Law
These Terms and Conditions will be governed by and construed in accordance with the laws of California. Any disputes arising from these terms will be resolved through binding arbitration in Los Angeles, CA, conducted under the rules of a mutually agreed-upon arbitration provider. If no agreement is reached, arbitration will proceed under the rules of the American Arbitration Association (AAA). Each party is responsible for its own costs, including attorney fees, with shared responsibility for arbitration fees unless otherwise required by law. By becoming a member, you agree to resolve disputes through arbitration rather than court proceedings.
