The Lady’z Lounge Women’s-Only Membership Terms & Conditions

By completing the membership application and agreeing to the terms outlined herein, you (“the Member”) enter into a membership agreement with The Lady’z Lounge, operating an exclusive women’s-only private membership program based in Los Angeles, California (“The Lady’z Circle”). This agreement governs your membership, including associated benefits, responsibilities, and expected conduct as a member of The Lady’z Circle.

1. Membership Eligibility and Approval

1.1 Eligibility

Membership with The Lady’z Circle is by invitation only. However, a limited number of applications are accepted annually from women whose values align with our mission to empower, uplift, and inspire. All applications undergo a thorough review by The Lady’z Lounge Executive Board to maintain the integrity, exclusivity, and shared vision of our community.

Membership is open to individuals who meet the criteria established by The Lady’z Circle, including being at least 21 years of age, as alcohol may be served at meetings and events. The Lady’z Lounge reserves the right to approve or deny membership based on its internal policies and in compliance with applicable laws, ensuring a respectful and inclusive environment for all members of The Lady’z Circle.

1.2 Membership Approval Process

Private and Exclusive Membership: Membership in The Lady’z Circle is designed to foster a supportive and dynamic community. There are two pathways to join:

Invitation Only: Prospective members may be invited by existing members or the Executive Board.
Application Process: A limited number of applications are accepted annually from women whose values align with our mission to empower, uplift, and inspire. Interested individuals can apply by completing a detailed membership application, which may require a referral from an existing member and is subject to a non-refundable $250 administrative processing fee.

Approval Steps

Application Review Process:Applications and nominations are reviewed by The Lady’z Lounge Membership Committee or Executive Board to ensure alignment with The Lady’z Circle’s mission and values.Applications will be processed within three (3) business days. Shortlisted applicants may be invited to a brief interview (digital or in-person, based on preference) to further assess fit.Applicants will be notified of approval or denial via email.
Membership Approval:Approval is at the sole discretion of the Executive Board. Submission of an application does not guarantee membership.If approved, you will receive an official invitation with instructions for completing your membership, including details about the annual membership fee (and/or administrative fee for the Community Circle).
Payment & Membership Activation:Membership dues (and/or administrative fees) must be paid within 48 hours of receiving your approval email.Payment can be completed via a secure link provided in the email or on our website.Failure to complete payment within this timeframe will result in automatic revocation of membership, requiring reapplication, including an additional $250 administrative processing fee.
Reapplication Process:If membership is revoked due to non-payment, reapplication is required, including payment of the $250 non-refundable administrative processing fee.
New Member Welcome:Upon approval and payment, you will receive a welcome package with essential information about The Lady’z Circle, including community guidelines and values.New members are invited to attend an orientation to facilitate their integration into the community.

1.3 Criminal Background Checks

Disclosure and Consent By applying for membership with The Lady’z Circle, applicants acknowledge and consent to the possibility of a criminal background check as part of the membership evaluation process. This check is conducted to ensure alignment with the organization’s values, mission, and commitment to fostering a safe and supportive community.

Purpose of Background Checks The purpose of conducting background checks is to uphold the integrity and exclusivity of The Lady’z Circle, ensuring all members contribute positively to the community.

Confidentiality All information obtained through criminal background checks will remain strictly confidential and will only be used for membership evaluation purposes. The information will not be disclosed to unauthorized parties.

Case-by-Case Evaluation A prior conviction does not automatically disqualify an applicant or member from participation. Each case will be reviewed individually, taking into account the nature of the offense, the time elapsed since the offense, and any evidence of rehabilitation.

Ongoing Background Checks The Lady’z Lounge reserves the right to conduct background checks on members at any time during their membership term. Members will be notified in advance and required to provide updated consent.

Failure to Comply Refusal to consent to a criminal background check or the provision of false or misleading information may result in denial of membership or termination of an existing membership.

Termination Rights The Lady’z Lounge retains the right to suspend or terminate membership based on the results of a criminal background check, where it is deemed that the findings conflict with the organization’s mission or could negatively impact the community of The Lady’z Circle.

1.4 Membership Expectations

Active Participation: Members are encouraged to actively engage by attending events, meetings, and volunteer opportunities. Participation strengthens the community and supports our mission.
Membership Benefits: Members gain access to exclusive events, networking opportunities, educational resources, and initiatives designed to empower women and promote personal and professional growth. Detailed benefits will be shared upon approval and are specific to each membership tier.
Privacy & Confidentiality: Members are expected to uphold the privacy and confidentiality of internal matters. By applying, you agree to maintain the integrity of the community.
Code of Conduct: All members must adhere to The Lady’z Lounge code of conduct. Violations, including inappropriate behavior, may result in membership revocation without refund.
Non-Transferability: Membership is personal and non-transferable. Sharing, transferring, or selling membership privileges is strictly prohibited and may result in termination.

1.5 Annual Renewal

Membership is valid for one (1) year from the date of approval. Renewal is required annually. Members will receive renewal instructions before the end of their membership term.

2. Membership Levels and Benefits

The Lady’z Circle offers the following membership tiers, each with distinct requirements, dues/fees, and benefits:

College/University Circle
Essential Circle
Professional Circle
Entrepreneur Collective

Detailed requirements, annual dues/fees, and specific benefits for each membership tier are outlined on The Lady’z Lounge website or in separate marketing materials and membership agreements provided upon application and acceptance. Membership benefits are designed to support women in their personal growth, professional development, and empowerment. Benefits are subject to change and availability.

Purchase of a Membership must be for your personal use only. Transfer of Membership to other persons is prohibited.

3. Payment & Renewal

Membership fees (and/or administrative fees for the Community Circle) are billed annually.

Payments are due at the time of enrollment, and membership renewals will be processed automatically at the end of the annual term.

A valid payment method must be provided at the time of sign-up.

4. Refund and Cancellation Policy for Annual Membership

4.1. Membership Term

Membership to The Lady’z Circle is valid for one (1) year from the date of enrollment and will automatically renew at the end of each term unless canceled in accordance with the terms outlined below.

4.2. Cancellation of Membership

30-Day Written Notice: To cancel your membership, you must provide written notice to The Lady’z Lounge at least 30 days before the desired cancellation date.

The 30-day notice period begins on the date the written notice is received by The Lady’z Circle.

No Cancellations Within the First 30 Days: For memberships purchased, no cancellations are allowed within the first 30 days of membership, unless The Lady’z Circle fails to fulfill its obligations under the membership terms.

4.3. Membership Fees and Refunds

Membership Fees Membership fees (and/or administrative fees), whether paid in full or in installments, are non-refundable once your payment has been processed. However, certain rights and protections under California law may apply to your membership. Please review the following terms carefully to understand your rights and obligations as a member of our private women’s circle in Los Angeles, CA.

Right to Cancel
While membership fees are generally non-refundable, California residents may cancel their membership contract without penalty or obligation within three (3) business days of the initial payment date. This right applies to first-time memberships only. However, the $250 one-time administrative processing fee is non-refundable under any circumstances. To exercise your right to cancel, please send a written cancellation request to Membership@TheLadyzLounge.com. We will process eligible cancellations promptly in accordance with California law.
Automatic Renewal of Membership
If your membership is set to automatically renew, we will provide a reminder notification, including the renewal date and associated fees, at least 30 days before the renewal. You may cancel the renewal at any time by providing written notice to [insert specific contact details] at least 30 days prior to the renewal date. Upon timely cancellation, no further charges will be applied.
Special Events, Promotions, or Additional Charges
Fees for special events, exclusive promotions, or additional services offered by The Lady’z Circle are non-refundable unless the event or service is canceled by The Lady’z Circle. In such cases, a refund or credit may be provided. Refund requests for canceled events must be submitted within 14 days of the cancellation notice.
Unfulfilled Services or Misrepresentation
If The Lady’z Circle fails to provide promised services or if there is a material misrepresentation of membership benefits, you may be entitled to a refund or other remedies under California consumer protection laws. Please contact us at [insert specific contact details] to address any concerns.
Non-Transferability of Membership
Memberships to The Lady’z Circle are personal and non-transferable. Members may not assign or transfer their membership to another person. Membership fees are non-refundable if a member chooses not to use their benefits or fails to engage with The Lady’z Circle activities.
Pro-Rata Refunds for Early Cancellation
Pro-rata refunds for the unused portion of a membership term may be considered in limited cases, including:
- Medical Incapacity: A pro-rata refund request due to medical incapacity must include a doctor’s note or medical certification clearly stating the member’s inability to continue participating in membership-related activities.
- Relocation: Refunds due to relocation will be considered for members who move permanently to a location more than 50 miles from the Los Angeles area. Proof of relocation, such as a lease agreement or utility bill in the member’s name, is required.
- Extenuating Circumstances: Other significant life changes, such as military deployment or unforeseen caregiving responsibilities, may qualify for a refund. Force Majeure
If events or services are disrupted due to circumstances beyond our control (e.g., natural disasters, pandemics, government restrictions), The Lady’z Circle may temporarily suspend services or events. Membership fees will not be refunded under such circumstances. However, The Lady’z Circle will make reasonable efforts to provide substitute services, reschedule events, or extend membership periods to mitigate the impact.
Dispute Resolution
All disputes or claims related to your membership or this agreement shall be resolved through binding arbitration in Los Angeles, CA, conducted under the rules of a mutually agreed-upon arbitration provider. If no agreement is reached, arbitration will proceed under the rules of the American Arbitration Association (AAA). Each party is responsible for its own costs, including attorney fees, with shared responsibility for arbitration fees unless otherwise required by law. By becoming a member, you agree to resolve disputes through arbitration rather than court proceedings.
Communication Preferences
By joining The Lady’z Circle, you consent to receive important communications about your membership, including renewal notices, updates, and cancellations, via the contact information provided at registration. How to Cancel Your Membership
To cancel your membership, submit a written cancellation request to Membership@TheLadyzLounge.com or follow the instructions in your member portal. Cancellations must be submitted at least 30 days before the next renewal date to avoid additional charges. Refunds, if applicable, will be processed within 14 business days of approval.

4.4. Membership Renewal

Automatic Renewal: Memberships will automatically renew at the end of each 12-month term unless canceled as per the cancellation terms above.

Members will receive a reminder email 30 days before the renewal date. If you do not wish to renew your membership, please ensure that you submit your cancellation notice prior to the renewal date.

4.5. Exceptions for Non-Refundable Fees

In cases where The Lady’z Circle fails to provide the services outlined in your membership agreement, members may request a resolution, which could include compensation or termination of the membership. These cases will be handled on a case-by-case basis in accordance with California consumer protection laws.

5. Code of Conduct and Responsibilities

The Lady’z Circle is committed to fostering a safe, supportive, and empowering environment for all members. By joining, you agree to adhere to the following Code of Conduct and responsibilities:

Respect and Professionalism: Treat all members, staff, guests, and individuals you interact with through The Lady’z Circle activities with courtesy, respect, and professionalism at all times. This includes in-person interactions, online communications, and any other form of engagement.
Inclusivity and Non-Discrimination: Embrace and uphold The Lady’z Circle’s commitment to a welcoming and inclusive community. Do not engage in any form of harassment, discrimination, abuse, or disrespectful behavior based on race, ethnicity, religion, sexual orientation, disability, age, socioeconomic status, or any other characteristic.
Active and Positive Engagement: Participate actively and positively in The Lady’z Lounge and The Lady’z Circle events, meetings, online forums (including BuddyPress and bbPress), and other activities. Contribute constructively to discussions, share insights respectfully, and support fellow members in their personal and professional growth.
Confidentiality: Maintain the strict confidentiality of any non-public or sensitive information shared within the community, including discussions in private meetings, online forums, or personal information shared by other members. Do not disclose confidential information without explicit consent from the individual or The Lady’z Circle.
Online Community Etiquette: Adhere to the specific guidelines and rules established for The Lady’z Lounge and The Lady’z Circle’s online platforms (BuddyPress, bbPress). This includes:
- Posting content that is relevant, respectful, and aligned with the community’s purpose.
- Avoiding spam, excessive self-promotion (unless in designated areas), or off-topic discussions that disrupt the community flow.
- Using private messaging appropriately and respecting the boundaries of other members.
- Reporting any content or behavior that violates the Code of Conduct or platform rules.
No Unsolicited Solicitation: Refrain from unsolicited direct solicitation of other members for unrelated business, products, or services without prior consent from The Lady’z Circle and the member being solicited. Networking and collaboration are encouraged, but direct, uninvited sales pitches are not permitted outside of approved channels.
Compliance with Laws and Policies: Comply with all applicable local, state, and federal laws and regulations while participating in The Lady’z Circle activities. Adhere to all rules, regulations, and policies set by The Lady’z Lounge and The Lady’z Circle, including those incorporated by reference (e.g., Website Terms & Conditions, Event Policies, Privacy Policy).
Responsible Event Attendance: Attend events and meetings for which you are registered. If you must cancel, do so with reasonable notice as per any specific event policies. Be mindful of the time and contributions of others.
Reporting Concerns: If you witness or experience any behavior that violates this Code of Conduct or makes you feel unsafe or uncomfortable, you are encouraged to report it promptly and confidentially to The Lady’z Lounge leadership via Membership@TheLadyzLounge.com or other designated reporting channels.

Violations of this Code of Conduct may result in disciplinary action, up to and including immediate suspension or termination of membership, at the sole discretion of The Lady’z Lounge. The Lady’z Lounge reserves the right to review all reported violations and may, at its discretion, issue a warning or hold a formal review process before imposing disciplinary action, including termination.

6. Termination of Membership

The Lady’z Lounge reserves the right to suspend or terminate your membership if you violate our terms, engage in misconduct, or disrupt the community environment of The Lady’z Circle. In such cases, no refund will be issued for unused membership time. In the event of termination, members may be prohibited from rejoining in the future.

7. Privacy & Data Protection

By becoming a member, you consent to the collection, processing, and use of your personal information in accordance with our Privacy Policy. We respect your privacy and are committed to safeguarding your personal information. You may request access to or deletion of your data at any time.

8. Changes to Terms

The Lady’z Lounge reserves the right to modify or update these Terms and Conditions at any time. Members will be notified of any significant changes. Continued membership after such updates constitutes acceptance of the revised terms.

9. Limitation of Liability

The Lady’z Lounge will not be held liable for any personal injury, loss, or damage to property that occurs as a result of membership or participation in any events, activities, or services of The Lady’z Circle, unless such injury or loss is due to our negligence. Members participate in activities at their own risk.

10. Non-Discrimination Policy

The Lady’z Lounge is committed to providing a welcoming, inclusive environment for all women within The Lady’z Circle. We do not tolerate discrimination based on race, ethnicity, religion, sexual orientation, disability, or any other characteristic. We are dedicated to fostering an environment of mutual respect and empowerment for women from all walks of life.

11. Governing Law

These Terms and Conditions will be governed by and construed in accordance with the laws of California. Any disputes arising from these terms will be resolved in the courts of Los Angeles County.
