The Lady’z Lounge Women’s-Only Circle Membership Terms & Conditions

By completing the membership application and agreeing to the terms outlined herein, you (“the Member”) enter into a membership agreement with The Lady’z Lounge, an exclusive invite only women’s-only private membership circle based in Los Angeles, California (“the Circle”). This agreement governs your membership, including associated benefits, responsibilities, and expected conduct as a member of The Lady’z Lounge.

1. Membership Eligibility and Approval

1.1 Eligibility

Membership with The Lady’z Lounge is by invitation only. However, a limited number of applications are accepted annually from women whose values align with our mission to empower, uplift, and inspire. All applications undergo a thorough review by The Lady’z Lounge Executive Board to maintain the integrity, exclusivity, and shared vision of our community.

Membership is open to invited individuals who meet the criteria established by The Lady’z Lounge, including being at least 21 years of age, as alcohol may be served at meetings and events. The Lady’z Lounge reserves the right to approve or deny membership based on its internal policies and in compliance with applicable laws, ensuring a respectful and inclusive environment for all members.

1.2 Membership Approval Process

Private and Exclusive Membership: Membership in The Lady’z Lounge is designed to foster a supportive and dynamic community. There are two pathways to join:

  • Invitation Only: Prospective members may be invited by existing members or the Executive Board.
  • Application Process: A limited number of applications are accepted annually from women whose values align with our mission to empower, uplift, and inspire. Interested individuals can apply by completing a detailed membership application, which may require a referral from an existing member and is subject to a non-refundable $150 application processing fee.

1.3 Nomination & Application:

  1. Member Nomination: Current Lady’z Circle members are encouraged to nominate potential new members who they believe would be a valuable addition to the group. Nominations are typically submitted during a designated nomination period (e.g., quarterly or annually).
  2. Invitation to Apply: The Membership Committee (or designated individual) reviews the nominations and extends invitations to apply to those nominees deemed a potential fit. This invitation emphasizes the exclusive nature of the group and the selective application process.
  3. Application Submission: Invited nominees receive and complete the official Lady’z Circle Membership Application Form. This form should be comprehensive and may include:
    • Personal Information (Name, Contact Details, etc.)
    • Background Information (Interests, Skills, Experience, Professional Affiliation – relevant to the group’s focus)
    • Statement of Interest (Why they are interested in joining and what they hope to contribute, demonstrating an understanding of the group’s purpose and values)
    • Letters of Recommendation (Required – from current member(s) or other reputable individuals).
    • Resume/CV (Optional, but encouraged)
    • A one-time application processing fee of $150 is required for all applications.
  4. Interview Process (Membership Committee): Shortlisted applicants are invited for an interview with the Membership Committee. The interview focuses on:
    • Deeper understanding of the applicant’s motivations and aspirations.
    • Assessment of their communication skills and interpersonal style.
    • Clarification of any questions or concerns arising from the application materials.
  5. Application Deadline: A clear deadline for application submission is communicated to the nominees.

1.4 Application and Approval Process for Non-Nominated Applicants

The Lady’z Circle welcomes a limited number of applications annually from qualified women who have not been nominated by a current member. The following process outlines the application and approval procedure for non-nominated applicants:

1. Application Period:

The Lady’z Circle will announce designated application periods for non-nominated applicants. These periods will be publicized on the Lady’z Circle website and other relevant platforms. Applications will only be accepted during these specified timeframes. A one-time application processing fee of $150 is required for all applications.

2. Application Submission:

Applicants must complete the official Lady’z Circle Non-Nominated Member Application Form, available on the Lady’z Circle website Membership Registration page (https://theladyzlounge.com/membership-registration1/). The completed application, including all required supporting documents, must be submitted electronically through the designated online portal by the stated application deadline. Late or incomplete applications will not be considered. A one-time application processing fee of $150 is required for all applications.

3. Application Requirements:

The following materials are required for a complete application:

  • Completed Application Form: The online application form must be filled out in its entirety, providing accurate and detailed information. A one-time application processing fee of $150 is required for all applications.
  • Letters of Recommendation: Letters of recommendation may be requested from reputable individuals who can attest to the applicant’s character, skills, experience, and suitability for membership in the Lady’z Circle. If required, these letters should be provided in sealed, secure envelopes and brought to the interview, if the applicant is invited for one.
  • Resume/CV (Optional but Encouraged): Applicants are encouraged to submit a resume or CV to provide additional context about their background and accomplishments.

4. Review and Selection Process:

The Lady’z Circle Membership Committee will review all complete applications received during the application period. The review process will consider the following criteria:

  • Alignment with Mission and Values: Demonstrated understanding and commitment to the Lady’z Circle’s mission, values, and objectives.
  • Potential Contributions: The applicant’s potential to contribute meaningfully to the Lady’z Circle through their skills, experience, network, or perspectives.
  • Overall Fit: The applicant’s compatibility with the existing membership and their potential to foster a positive and collaborative environment within the Lady’z Circle.

5. Interview Process:

Shortlisted applicants may be invited for an interview with the Membership Committee. The interview will provide an opportunity for the committee to further assess the applicant’s qualifications and suitability for membership.

6. Membership Decision:

The Membership Committee will make the final decision regarding membership. The number of new members selected will be determined by the Lady’z Circle based on its current needs and capacity. All applicants will be notified of the decision in writing.

7. Confidentiality:

All application materials and information shared during the application process will be treated as confidential and used solely for the purpose of membership selection.

8. No Guarantee of Membership:

Submitting an application does not guarantee membership in the Lady’z Circle. The selection process is competitive, and the Lady’z Circle reserves the right to select the applicants it deems most qualified and suitable.

9. Application Fee (if applicable):

A one-time, non-refundable application processing fee of $150 is required at the time of application submission.

1.5. Invitation & Onboarding:

  1. Invitation to Join: Selected applicants receive a formal invitation to join the Lady’z Circle. This invitation will outline membership fees based on your membership selection and any other relevant details.
  2. Acceptance & Membership Activation: Upon acceptance of the invitation, the new member’s membership is activated.
  3. Welcome & Introduction: New members are formally welcomed and introduced to the Lady’z Circle at a meeting or through a dedicated onboarding event. This introduction may include:
    • Distribution of a member directory and other relevant materials.
    • Pairing with a “buddy” or mentor within the group.
    • Explanation of group norms, traditions, and communication channels.

1.6. Confidentiality & Discretion:

The entire application and selection process is treated with strict confidentiality. Information shared by applicants is handled with discretion and used solely for the purpose of membership selection.

1.7. Annual Review:

This membership approval process is reviewed annually by the Membership Committee (or designated body) to ensure its effectiveness and alignment with the Lady’z Circle’s evolving needs.

1.8. Payment & Membership Activation:

  • Membership dues must be paid within 48 hours of receiving your approval email.
  • Payment can be completed via a secure link provided in the email or on our website.
  • Failure to complete payment within this timeframe will result in automatic revocation of membership, requiring reapplication, including an additional $150 processing fee.

1.9. Reapplication Process:

  • If membership is revoked due to non-payment, reapplication is required, including payment of the $150 non-refundable processing fee.

1.10. Criminal Background Checks

  1. Disclosure and Consent
    By applying for membership with The Lady’z Lounge, applicants acknowledge and consent to the possibility of a criminal background check as part of the membership evaluation process. This check is conducted to ensure alignment with the organization’s values, mission, and commitment to fostering a safe and supportive community.
  2. Purpose of Background Checks
    The purpose of conducting background checks is to uphold the integrity and exclusivity of The Lady’z Lounge, ensuring all members contribute positively to the community.
  3. Confidentiality
    All information obtained through criminal background checks will remain strictly confidential and will only be used for membership evaluation purposes. The information will not be disclosed to unauthorized parties.
  4. Case-by-Case Evaluation
    A prior conviction does not automatically disqualify an applicant or member from participation. Each case will be reviewed individually, taking into account the nature of the offense, the time elapsed since the offense, and any evidence of rehabilitation.
  5. Ongoing Background Checks
    The Lady’z Lounge reserves the right to conduct background checks on members at any time during their membership term. Members will be notified in advance and required to provide updated consent.
  6. Failure to Comply
    Refusal to consent to a criminal background check or the provision of false or misleading information may result in denial of membership or termination of an existing membership.
  7. Termination Rights
    The Lady’z Lounge retains the right to suspend or terminate membership based on the results of a criminal background check, where it is deemed that the findings conflict with the organization’s mission or could negatively impact the community.


1.11. Membership Expectations

  • Active Participation: Members are encouraged to actively engage by attending events, meetings, and volunteer opportunities. Participation strengthens the community and supports our mission.
  • Membership Benefits: Members gain access to exclusive events, networking opportunities, educational resources, and initiatives designed to empower women and promote personal and professional growth. Detailed benefits will be shared upon approval.
  • Privacy & Confidentiality: Members are expected to uphold the privacy and confidentiality of internal matters. By applying, you agree to maintain the integrity of the community.
  • Code of Conduct: All members must adhere to The Lady’z Lounge code of conduct. Violations, including inappropriate behavior, may result in membership revocation without refund.
  • Non-Transferability: Membership is personal and non-transferable. Sharing, transferring, or selling membership privileges is strictly prohibited and may result in termination.

1.12. Annual Renewal

Membership is valid for one (1) year from the date of approval. Renewal is required annually. Members will receive renewal instructions before the end of their membership term.

2. Membership Levels and Benefits

We offer the following membership tiers:

  • College/University Circle Membership: At The Lady’z Lounge, we believe in empowering the next generation of women leaders, professionals, and entrepreneurs. Our College/University Membership tier is specifically designed for students who are looking to connect with like-minded women, build their networks, and gain the tools necessary for career and personal growth.
  • Professional Circle Membership: Advanced tools, networking opportunities, and resources specifically for women in business and professional careers.
  • Executive Circle Membership: Exclusive access to premium services, personalized experiences, priority support, and VIP treatment designed to cater to women who demand the highest level of support and growth.

Each membership tier offers different benefits, as outlined on our website or in marketing materials. Membership benefits are designed to support women in their personal growth, professional development, and empowerment. Benefits are subject to change and availability.

Purchase of a Membership must be for your personal use only. Transfer of Membership to other persons is prohibited.

3. Payment & Renewal

  • Membership fees are billed annually.
  • Payments are due at the time of enrollment, and membership renewals will be processed automatically at the end of the annual term.
  • A valid payment method must be provided at the time of sign-up.
  • We accept the following forms of payment:

4. Refund and Cancellation Policy for Annual Membership

4.1. Membership Term

Membership to The Lady’z Lounge is valid for one (1) year from the date of enrollment and will automatically renew at the end of each term unless canceled in accordance with the terms outlined below.

4.2. Cancellation of Membership

  • 30-Day Written Notice: To cancel your membership, you must provide written notice to The Lady’z Lounge at least 30 days before the desired cancellation date.
    • The notice must be submitted via email to  Membership@TheLadyzLounge.com or sent certified mail to The Lady’z Lounge, P. O. Box 480575, Los Angeles, CA 90048.
    • The 30-day notice period begins on the date the written notice is received by the circle.

4.3. Membership Fees and Refunds

Membership Fees
Membership fees, whether paid in full or in installments, are non-refundable once your payment has been processed. However, certain rights and protections under California law may apply to your membership. Please review the following terms carefully to understand your rights and obligations as a member of our private women’s circle in Los Angeles, CA.

1. Right to Cancel

While membership fees are generally non-refundable, California residents may cancel their membership contract without penalty or obligation within three (3) business days of the initial payment date. This right applies to first-time memberships only. However, the $150 one-time processing fee is non-refundable under any circumstances. To exercise your right to cancel, please send a written cancellation request to Membership@TheLadyzLounge.com or via certified mail to The Lady’z Lounge, P. O. Box 480575, Los Angeles, CA 90048. We will process eligible cancellations promptly in accordance with California law. Refunds, if applicable, will be processed within 14 business days of approval.

2. Automatic Renewal of Membership

If your membership is set to automatically renew, we will provide a reminder notification, including the renewal date and associated fees, at least 30 days before the renewal. You may cancel the renewal at any time by providing written notice to [insert specific contact details] at least 30 days prior to the renewal date. Upon timely cancellation, no further charges will be applied.

3. Special Events, Promotions, or Additional Charges

Fees for special events, exclusive promotions, or additional services offered by the circle are non-refundable unless the event or service is canceled by the circle. In such cases, a refund or credit may be provided. Refund requests for canceled events must be submitted within 14 days of the cancellation notice.

4. Unfulfilled Services or Misrepresentation

If the circle fails to provide promised services or if there is a material misrepresentation of membership benefits, you may be entitled to a refund or other remedies under California consumer protection laws. Please contact us at Membership@TheLadyzLounge.com to address any concerns.

5. Non-Transferability of Membership

Memberships to the circle are personal and non-transferable. Members may not assign or transfer their membership to another person. Membership fees are non-refundable if a member chooses not to use their benefits or fails to engage with circle activities.

6. Pro-Rata Refunds for Early Cancellation

Pro-rata refunds for the unused portion of a membership term may be considered in limited cases, including:

  1. Medical Incapacity: A pro-rata refund request due to medical incapacity must include a doctor’s note or medical certification clearly stating the member’s inability to continue participating in membership-related activities.
  2. Relocation: Refunds due to relocation will be considered for members who move permanently to a location more than 50 miles from the Los Angeles area. Proof of relocation, such as a lease agreement or utility bill in the member’s name, is required.
  3. Extenuating Circumstances: Other significant life changes, such as military deployment or unforeseen caregiving responsibilities, may qualify for a refund. Relevant documentation supporting the claim must be provided.

All requests for pro-rata refunds must be submitted in writing to Membership@TheLadyzLounge.com within 30 days of the qualifying event. The Lady’z Lounge reserves the right to review each request on a case-by-case basis. Approved refunds will be processed within 14 business days of approval.

7. Force Majeure

If events or services are disrupted due to circumstances beyond our control (e.g., natural disasters, pandemics, government restrictions), the circle may temporarily suspend services or events. Membership fees will not be refunded under such circumstances. However, the circle will make reasonable efforts to provide substitute services, reschedule events, or extend membership periods to mitigate the impact.

8. Dispute Resolution

All disputes or claims related to your membership or this agreement shall be resolved through binding arbitration in Los Angeles, CA, conducted under the rules of a mutually agreed-upon arbitration provider. If no agreement is reached, arbitration will proceed under the rules of the American Arbitration Association (AAA). Each party is responsible for its own costs, including attorney fees, with shared responsibility for arbitration fees unless otherwise required by law. By becoming a member, you agree to resolve disputes through arbitration rather than court proceedings.

9. Communication Preferences

By joining the circle, you consent to receive important communications about your membership, including renewal notices, updates, and cancellations, via the contact information provided at registration. 10. Accessibility

We are committed to ensuring that all members have access to circle services. If you require accommodations due to a disability, please contact us at Membership@TheLadyzLounge.com so we can assist you appropriately.


4.4. Membership Renewal

  • Automatic Renewal: Memberships will automatically renew at the end of each 12-month term unless canceled as per the cancellation terms above.
  • Members will receive a reminder email 30 days before the renewal date. If you do not wish to renew your membership, please ensure that you submit your cancellation notice prior to the renewal date.

4.5. Exceptions for Non-Refundable Fees

In cases where The Lady’z Lounge fails to provide the services outlined in your membership agreement, members may request a resolution, which could include compensation or termination of the membership. These cases will be handled on a case-by-case basis in accordance with California consumer protection laws.

5. Code of Conduct and Responsibilities

As a member of The Lady’z Lounge, you agree to:

  • Treat all members, staff, and guests with respect and professionalism.
  • Abide by all rules, regulations, and policies set by The Lady’z Lounge.
  • Engage in positive and empowering behaviors that support our mission to provide a safe, supportive space for women.
  • Not engage in any illegal, abusive, discriminatory, or disruptive behavior within the community or during events or services.

6. Termination of Membership

The Lady’z Lounge reserves the right to suspend or terminate your membership if you violate our terms, engage in misconduct, or disrupt the community environment. In such cases, no refund will be issued for unused membership time. In the event of termination, members may be prohibited from rejoining in the future.

7. Privacy & Data Protection

By becoming a member, you consent to the collection, processing, and use of your personal information in accordance with our Privacy Policy. We respect your privacy and are committed to safeguarding your personal information. You may request access to or deletion of your data at any time.

8. Changes to Terms

The Lady’z Lounge reserves the right to modify or update these Terms and Conditions at any time. Members will be notified of any significant changes. Continued membership after such updates constitutes acceptance of the revised terms.

9. Limitation of Liability

The Lady’z Lounge will not be held liable for any personal injury, loss, or damage to property that occurs as a result of membership or participation in any events, activities, or services, unless such injury or loss is due to our negligence. Members participate in activities at their own risk.

10. Non-Discrimination Policy

The Lady’z Lounge is committed to providing a welcoming, inclusive environment for all women. We do not tolerate discrimination based on race, ethnicity, religion, sexual orientation, disability, or any other characteristic. We are dedicated to fostering an environment of mutual respect and empowerment for women from all walks of life.

11. Governing Law

These Terms and Conditions will be governed by and construed in accordance with the laws of California. Any disputes arising from these terms will be resolved in the courts of Los Angeles County.
